Terms of Service

These Terms of Service ("Terms") govern your access to and use of Atlas, the reseller management platform ("Atlas," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13 years old (or the minimum age required by Discord in your region) to use Atlas. By using the Service, you represent that you meet this requirement and that you have the authority to enter into these Terms. If you use Atlas on behalf of a business, you represent that you are authorized to bind that business. Atlas is available to users in the United States, Canada, Mexico, and internationally.

Atlas provides tools for retail-arbitrage and reselling operations, including inventory tracking, order and transaction management, profit and ROI analytics, credit-card reward tracking, gift card management, forecasting, expense tracking, and optional integrations such as Gmail order import and the Atlas browser extension. We may add, modify, or remove features at any time.

• You sign in through Discord. You are responsible for maintaining the security of your account and any activity that occurs under it.
• You agree to provide accurate information and to keep it up to date.
• You are responsible for all data you enter, import, or sync into Atlas.
• Notify us promptly at hello@atlasresellhub.com if you suspect unauthorized use of your account.

Atlas is currently free to use. We do not currently offer paid subscription plans or process any payments. This section will be updated if and when paid plans or billing are introduced, and you will be notified before any charges apply.

You agree not to:

• Use Atlas for any unlawful purpose or in violation of any applicable law or third-party rights.
• Reverse engineer, decompile, scrape, or attempt to extract the source code of the Service.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Circumvent usage limits, security features, or access controls.
• Upload malware, interfere with the Service, or attempt unauthorized access to other accounts or our systems.
• Use integrations (Gmail, retailers, etc.) in violation of those providers' own terms of service.

You retain ownership of the data and content you enter into Atlas ("Your Content"). You grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for the accuracy and legality of Your Content, including any data imported from email or retailer pages. We do not claim ownership of Your Content and will not sell it.

Atlas integrates with third-party services including Discord (authentication), Google/Gmail (order import), supported retailers, and browser extension APIs. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services, and integration features may change or be discontinued if a provider changes its terms or APIs.

The Atlas platform, including its software, design, branding, logos, and the "Atlas" name, is owned by Atlas and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for your own reselling operations. These Terms do not transfer any ownership rights to you.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data imports and calculations will be complete or accurate.

To the maximum extent permitted by applicable law, Atlas and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed USD $100 or the amount you paid us in the 12 months before the claim, whichever is greater.

You agree to indemnify and hold harmless Atlas and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

You may stop using Atlas and delete your account at any time by contacting us at hello@atlasresellhub.com. We may suspend or terminate your access if you violate these Terms, misuse the Service, or where required by law. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will continue to apply.

We may modify the Service or these Terms from time to time. For material changes, we will provide notice via email or in-app notification before they take effect. Your continued use of Atlas after changes become effective constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction. Nothing in these Terms limits any rights you may have under the laws of your own jurisdiction (including Canadian provincial law, Mexican consumer law, or applicable EU/UK law).

• Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Atlas regarding the Service.
• Severability. If any provision is found unenforceable, the rest remain in effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
